Angus Lloyd Associates Inc. (“ALA”) welcomes you to our website, www.anguslloyd.com (the “Site”). By accessing and using this Site, you signify that you have read, fully understand and agree to be legally bound by these terms of use (“Terms of Use” or “Terms”) and to comply with all applicable laws and regulations as they may change from time to time.
(1) Use of the Site. We grant you a limited, nonexclusive, nontransferable license to access this Site and its content (“Site Content”) for your personal, non-commercial use according to these Terms of Use. If you are a student who is a minor in the jurisdiction where you live, you must have your parent/legal guardian agree to these terms on your behalf. As a parent or legal guardian of such a child, you must agree to these Terms on behalf of your child(ren), and you must supervise and be responsible for your child(ren)’s use of the Site. We may require parents/legal guardians to provide their own contact information, or we may obtain such contact information from a student, to verify your agreement to these Terms, and that we have your permission to allow your child(ren) to use the Site. If you do not accept and agree to be legally bound by and comply with these rules of conduct, you are not permitted to access or use the Site.
(2) Intellectual Property Rights. The design, trademarks, service marks, and logos of the Site (“Marks”), are owned by or licensed to ALA, and are subject to copyright and other intellectual property rights under Canadian, foreign laws, and international conventions. ALA reserves all rights not expressly granted in and to the Site, the Marks and the Site Content. You agree not to engage in the use, copying, or distribution of any of the Site, the Marks and the Site Content other than expressly permitted.
(3) User Conduct. You may not engage in any of the following prohibited activities:
(a) copying, distributing, or disclosing any part of the Site Content in any medium, including without limitation by any automated or non-automated “scraping”,
(b) using any automated system, including without limitation “robots,” “spiders,” “offline readers,” etc., to access the Site,
(c) transmitting spam, chain letters, or other unsolicited email,
(d) attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Site,
(e) taking any action that imposes, or may impose at our sole discretion an unreasonable or disproportionately large load on Site infrastructure, (f) uploading invalid data, viruses, worms, or other software agents through the Site,
(g) collecting or harvesting any personally identifiable information, including account names, from the Site,
(h) using the Site for any commercial solicitation purposes,
(i) impersonating another person or otherwise misrepresenting your affiliation with a person or entity, conducting fraud, hiding or attempting to hide your identity,
(j) interfering with the proper working of the Site,
(k) accessing any Site Content through any technology or means other than those provided or authorized by the Site, or
(l) bypassing the measures we may use to prevent or restrict access to the Site, including without limitation features that prevent or restrict use or copying of any Site Content or enforce limitations on use of the Site.
(m) all software used on the Site is proprietary to ALA or to third parties, and except as may be required to exercise the foregoing licence grant, any use, redistribution, sale, de-compilation, reverse engineering, disassembly, translation or other reduction of such software to human-readable form is prohibited. You agree, and represent and warrant, that your use or other exploitation of the Site and the Site Content, or any portion thereof, will be consistent with the foregoing licence and restrictions and will neither infringe nor violate the rights of any other party or breach any contract or legal duty to any other parties. In addition, you agree that you will comply with all applicable laws, regulations and ordinances relating to the Site, the Site Content or your use of them, and you will be solely responsible for your own individual violations of any of them.
(4) Site Content. ALA authorizes you to view the Site Content subject to the following conditions: (a) You may not use any automated process or software program to view, download, print or otherwise use Site Content; (c) You may not modify the Site Content; (d) You may not remove any copyright, trademark, distribution statement, or other proprietary notices that have been placed in the Site Content. Except as expressly permitted above, copying; modifying; storing; reproduction; redistribution; republication; uploading; posting; transmitting; distributing or otherwise exploiting in any way the Site Content, or any portion of the Site Content, is strictly prohibited without the prior written permission of ALA.
